1. Acceptance of Terms
By accessing or using the kenbun website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services. These Terms constitute a legally binding agreement between you and kenbun LLC ("kenbun," "we," "us," or "our").
2. Description of Services
kenbun provides a real-time lead scoring and engagement platform that helps sales and marketing teams identify, prioritize, and act on high-intent leads. Our Services include the kenbun platform, website, APIs, integrations, and related tools.
3. Beta & Early Access
Certain features or services may be designated as beta, early access, or preview ("Beta Services"). By using Beta Services, you acknowledge that:
- Beta Services are provided "as-is" with no uptime commitments or service level guarantees.
- Features may be changed, deprecated, or removed at any time without notice.
- Beta Services may contain bugs or errors that could cause data loss or service interruptions.
- Any data submitted during a beta period may be used to improve the Services, subject to our Privacy Policy.
By joining our waitlist, you consent to receiving product updates and communications related to your waitlist status. You may unsubscribe at any time.
4. Account Registration
To use certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorized access to any part of the Services or any systems or networks connected to the Services.
- Interfere with or disrupt the integrity or performance of the Services.
- Reverse engineer, decompile, or disassemble any aspect of the Services.
- Use the Services to send spam, unsolicited messages, or engage in any abusive practices.
- Resell, sublicense, or distribute the Services without our prior written consent.
- Use the Services in violation of applicable export control or sanctions laws.
6. Intellectual Property
All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, software, and design — are the exclusive property of kenbun LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of our Services without our prior written consent.
7. Your Data
You retain ownership of any data you submit to or process through our Services ("Your Data"). By using our Services, you grant kenbun a limited, non-exclusive license to use Your Data solely to provide and improve the Services. We will handle Your Data in accordance with our Privacy Policy.
We may generate and use anonymized, aggregated data derived from Your Data that does not identify you, your company, or your end users ("Aggregate Data"). We may use Aggregate Data for analytics, benchmarking, product improvement, and machine learning purposes, both during and after the term of your use of the Services.
8. Service Availability
We will use commercially reasonable efforts to maintain the availability of our Services. However, the Services may be subject to scheduled maintenance, unscheduled downtime, or interruptions beyond our control. We do not guarantee uninterrupted or error-free service. 9. Payment & Billing
If you subscribe to a paid plan, you agree to pay all applicable fees as described in our pricing. Fees are non-refundable except as required by law or as expressly stated in these Terms. We reserve the right to change our pricing upon at least 30 days' prior written notice. Continued use of paid Services after a price change takes effect constitutes acceptance of the new pricing.
10. Termination
Either party may terminate this agreement at any time. We may suspend or terminate your access for cause (such as a violation of these Terms) with 7 days' written notice, or immediately if the violation poses a security risk or legal liability. We may terminate without cause upon 30 days' written notice.
Upon termination or cancellation:
- Your right to use the Services ceases immediately.
- You will have 30 days from the date of termination to export Your Data. We will provide reasonable assistance with data export upon request.
- After the 30-day export period, we will delete Your Data from our active systems within 90 days, except as required for legal compliance or legitimate business purposes (e.g., billing records).
- Any prepaid fees for unused service periods will be prorated and refunded, except in cases of termination for cause.
11. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure. We are not responsible for failures or interruptions in third-party services (including CRM platforms, messaging integrations, or cloud infrastructure providers) that may affect the operation of our Services.
12. Limitation of Liability
To the maximum extent permitted by law, kenbun LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Services, regardless of the theory of liability.
Our total aggregate liability for all claims arising out of or related to these Terms or the Services shall not exceed the greater of (a) the total fees paid by you to kenbun during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars ($100). This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.
13. Indemnification
You agree to indemnify and hold harmless kenbun LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services or your violation of these Terms.
14. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, internet or telecommunications failures, power outages, third-party cloud infrastructure outages, cyberattacks, or other force majeure events.
15. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Before initiating any legal action, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days. If the dispute cannot be resolved through negotiation, either party may pursue resolution through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, or in the state or federal courts located in Delaware. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.
16. Export Compliance
You agree to comply with all applicable export control laws, trade sanctions, and import regulations, including those administered by the U.S. Department of Commerce, the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), and any other relevant authorities. You may not use, export, or re-export the Services in any country or to any person prohibited by applicable laws.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date and, for paid customers, by email at least 30 days before changes take effect. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
